1. Consultation
The client sought our advice regarding the review of a non-disclosure agreement (NDA) related to the outsourcing of product manufacturing. The client requested an assessment of the contractual terms and potential risks associated with the agreement.
2. Our Solution
We reviewed each provision of the NDA from various perspectives, including the definition of confidential information, the scope of information disclosure, restrictions on the use of information, and the ownership of intellectual property rights.
As a result, we identified an issue regarding a provision stating that the manufacturing contractor would not disclose formulations or manufacturing technologies relating to products independently developed by the contractor. Specifically, we found that the agreement did not clearly address situations where technologies claimed to have been independently developed by the manufacturing contractor were actually developed based on confidential information provided by the client.
Accordingly, we advised that the agreement should include a provision requiring the parties to notify each other when inventions, utility models, or other intellectual property-related outcomes are created based on the other party’s confidential information, and that the ownership and conditions for use of such intellectual property should be determined through mutual consultation.
We also clarified that technologies independently created by either party without relying on the other party’s confidential information, as well as technologies owned by either party prior to entering into the agreement, should remain the property of the respective party. This helped establish a clear distinction between developments based on confidential information and independently developed technologies.
3. Conclusion
Our firm provides support for various types of agreements, including non-disclosure agreements, manufacturing outsourcing agreements, and joint development agreements. We review contractual provisions from the perspectives of intellectual property rights and confidential information management, and provide recommendations for amendments and improvements to reduce the risk of future disputes.
